These Terms of Service ("Terms") govern your use of Wave Inbox ("we", "us", "our"), a multi-channel customer messaging platform that enables businesses to receive and respond to customer conversations from WhatsApp Business, Facebook Messenger, and Instagram Direct in a unified inbox (the "Service"). By using the Service, you agree to these Terms.

1. Acceptance of Terms

By creating a Wave Inbox account, connecting a Meta channel (WhatsApp number, Facebook Page, or Instagram Business account), or interacting with a business that uses Wave Inbox, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement. Business users represent and warrant that they have the authority to act on behalf of the business they represent.

Business users are responsible for maintaining the confidentiality of their account credentials and for all activities under their account. Notify us immediately at security@waveinbox.space of any unauthorized access.

6. Connected Channels and Tokens

To use the Service, you connect Meta channels (Facebook Pages, Instagram Business accounts, WhatsApp Business numbers) via OAuth or token-based authentication. You represent that you have the authority to connect these channels and grant Wave Inbox the access required to operate the Service. You may disconnect any channel at any time, which will stop further data collection from that channel.

7. Data Processing

Wave Inbox acts as a data processor on behalf of business users (data controllers). Detailed data handling practices are described in our Privacy Policy. Sub-processors include Supabase, Vercel, Anthropic, and Groq, all bound by data processing agreements.

8. Intellectual Property

All content provided through the Service — software, design, graphics, logos, and trademarks — is owned by Wave Inbox or its licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without express written permission.

9. User-Generated Content

Messages, media, and content sent via connected Meta channels remain the property of the business and the customer who exchanged them. By using the Service, business users grant Wave Inbox a non-exclusive, worldwide license to process this content solely for operating the Service.

10. Third-Party Services

The Service integrates with Meta Platforms, AI providers, hosting providers, and analytics tools. Your use of those services is subject to their respective terms, and we are not responsible for their practices, outages, or policy changes.

11. Fees and Subscriptions

Wave Inbox may be offered under a subscription model with tiered pricing based on message volume, channels connected, or feature access. Fees are described at signup or in business agreements. Failure to pay may result in suspension of the Service.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, nor that messages will always be delivered (delivery depends on Meta infrastructure).

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVE INBOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

14. Indemnification

You agree to indemnify and hold harmless Wave Inbox, its affiliates, and their officers, directors, employees, and agents from any claims, losses, or damages arising out of your violation of these Terms, applicable laws, or Meta policies.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, applicable laws, or Meta policies, or is otherwise harmful. You may terminate your account at any time by contacting support@waveinbox.space; data deletion follows the procedures described in our User Data Deletion page.

16. Changes to the Terms

We reserve the right to modify these Terms at any time. Material changes will be indicated by updating the "Last updated" date and, where required by law, by notifying business users via email. Continued use of the Service after changes constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws of Brazil, without regard to conflict-of-law principles. Any disputes shall be resolved in the competent courts of São Paulo, Brazil, except where mandatory consumer protection laws of your jurisdiction provide otherwise.
